Organizational aspects of the airport restructuring process based on management company

Аннотация. В статье были разработаны организационные структуры управления аэропортом, а также реструктуризации аэропортового комплекса на основании модели управляющей компании. Результатом исследования было развитие научных и практических рекомендаций процесса реструктуризации аэропортового комплекса на основе управляющей компании.

Abstract. In the article was developed oragnizatsionnye airport management structure, as well as the restructuring of the airport complex on the basis of a model management company. The result of the study was the development of scientific and practical recommendations on the process of restructuring of airport complex based on management company.

Statement of the problem. Adaptation of the airport complex and other sectors of the aviation industry in Ukraine to market conditions - is one of the major problems of the airline industry in Ukraine.

The current stage of development of the airport complex in Ukraine is characterized by significant and disproportionate lack of stable trends.

One of the most effective methods of airport complex adaptation to new market conditions is the restructuring process. Carrying out the restructuring process will strengthen stability and competitiveness of the airport.

The implementation of the restructuring process of the airport complex which based on management company requires a professional study of the actions that meet those goals and objectives are put in making this management decision.

Analysis of recent research and publications. Methods of analysis and accounting of assets as a tools of restructuring, was studied in a number of domestic and foreign publications. It is works of Balabanova I., Kovaleva V., Sheremet A., Ray, D., Upper J. Heddervik K. Helfert E., and other.

Questions about the restructuring of the airport complex considered by such scientists as Krysko J., Vysochin I., Masur I., Krasnov B. and others.

The purpose of the publication. Developing of the organizational structure of the airport complex restructuring concept based on management company.

The main material.

At every tenth enterprise is an allocation of units from its composition, and every fifth creates subsidiaries. Furthermore, one-third of enterprises gets rid of excessive production assets. Quite is actively working with the transmission, sale or commercial usage of objects of social sphere: almost half of the companies gave social objects authorities.

Thus, we can say that the restructuring, including structural transformation leads to transformation in the economy of the enterprise and its production and non-production sphere.

Numerous examples of Ukrainian enterprises show that during restructuring in most enterprises

addressed questions related not only to the decision of structural, production problems, but with the emergence and resolution of "personal" problems of employees in the company of people. This fact is a consequence of the fact that restructuring is necessary reallocation and reduction in number of employees and reorientation of their work.

These phenomena is characterized not only for domesyic but also for western companies. Here, he writes about this B.C. Akopov: "In recent years, widespread restructuring scheme was" daunsayzynh "- a set of measures aimed at radical" slimming "of the organization and reducing the expenditure side of the budget, mainly due to the massive reduction in personnel" [3].

Though downsizing during the restructuring needed to conduct such an event possible only advance good weighing and evaluating its impact on the company and its employees.

Attempt of management (founders) to design enterprise restructuring is generally not supported by his team. In some cases, perhaps even resistance to the part, which "have something to lose." Psychologically, this resistance can be understood and explained, "that will give each employee personally restructuring is still unknown, but the present work is to somehow feed" [5]. Therefore, in the course of the great transformations of the role of organizational (corporate) culture that prevailed in the organization at the time of restructuring.

Experience shows that if the company will be signs of destructive (destructive) corporate culture, the restructuring could be bleak. These companies are generally not subject to change. For their salvation requires extraordinary measures - recovery through bankruptcy, at best - replacing the manager and he created a radical restructuring of the life of the enterprise.

Therefore, the company that hopes to restructure refers to services of the management company.

The implementation of the restructuring process based on the model airport management company requires a thorough scientific investigation.

Restructuring of the airport complex which based on management company requires strict adherence to specific actions that meet those goals and objectives [2].

These actions are:

- The definition of "point of restructuring." Analysis and development of the life cycle of the airport to determine the time when carrying out the process of restructuring is necessary, timely and feasible;

- Analysis of market forecasts of future demand for passenger (regular and irregular) and air freight. Providing their facilities as well as services related to the storage, ground service, providing meals, retail trade and other services in the region;

- Analysis of the existing regulatory regime and planning objects that are applicable to the airport, its activities and the planned development of the recommendations of changes that are necessary or expedient for the successful development of the airport;

- Analyze all possible options of corporate and organizational structure, financing, etc., are necessary and appropriate to attract financing and implementation of the restructuring project, development and further work airport ;

- Drafting restructuring and evaluation of existing and required resources for its decision;

- Conceptual solutions and the cost of restructuring the existing and construction of new fa-

cilities to meet future demand as part of a larger master plan for development of the airport complex and the surrounding area;

- Forming a conceptual model of organizational and economic mechanism of airport restructuring;

- Development of a comprehensive financial model of reconstruction and development of the airport, which included tax, depreciation and debt service;

- Development of economic adaptation mechanism based on the principles which ensure the effectiveness of the management company managing the airport before, during and after the restructuring process;

- Conducting preliminary negotiations with different groups of investors, creditors, government development banks, airport operators, airlines and other possible strategic and financial partners within this project [4].

The project of restructuring and development of the airport, needs to attract significant financial resources, which leads to the consideration of the capacity of the airport to ensure the involvement of financial means to pay for the necessary work of construction and reconstruction, as well as calculating return on investment, reasonably expect private investors.

ment company offered the following recommendations:

1. As a basic scheme of the management company should be exercised control stakes associated with the exercise of fiduciary rights of securities. To carry out general management activities and the development of an airport complex can be specifically created a new entity - the management company, which in addition to the current airport management activities should make complex development strategy and attract the necessary investment. In the management of the management company sent shares of airport operators [1].

2. The management company shall conclude with the shareholders the concession contrakt. Under the contract, activity must be conducted on the rights of shareholders of securities under the agreement and issued a power of attorney, trustee performs a set of actions and measures envisaged by the charter company.

3. Must be consolidating holdings in the management company. which operates under a contract of trust management that substantially increase the investment attractiveness of the project, because management through a consolidated package will manage the activities of organizations that provide services to airlines, more efficiently as a single industrial complex.
